Character.AI files for bankruptcy, agrees to sell some assets for $20 million
Disney’s bid sets a $20 million floor as Character.AI seeks higher offers and says it will keep the platform running during the sale.
- Character Technologies filed for Chapter 11 bankruptcy in Delaware on Monday, initiating a court-supervised sale process with Disney lined up as the initial 'stalking horse' bidder for specific intellectual property.
- Legal, regulatory, and operational headwinds prompted the filing, following lawsuits regarding teen mental health crises. CEO Colin Adams stated the board determined this sale provides the "best opportunity to maximize value for all stakeholders."
- Disney agreed to pay $20 million for a perpetual, non-exclusive license to certain intellectual property and legal claims. Character Technologies listed estimated assets and liabilities between $50 million and $100 million in its court filing.
- "Disney's bid would set a baseline offer while allowing competing bidders to submit higher bids," the company said. The sale process is expected to conclude by late November or early December 2026.
- If the process fails to produce a buyer, the platform will be wound down. Previously, Disney hired former Character Technologies boss Karandeep Anand; years earlier, Disney requested the platform stop hosting chatbots copying its characters.
